These Terms of Service ("Terms") govern your access to and use of Notelify ("we," "us," or "our"), an AI-powered study tools platform available at notelifyapp.com (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Service Description
Notelify is an AI-powered platform that transforms multimedia content into structured learning materials. Our tools include:
- YouTube Analysis — Convert YouTube videos into notes, flashcards, quizzes, mind maps, and summaries
- Document Analysis — Process PDFs, DOCX, PPT, and book files into study-ready output
- Audio & Video Transcription — Transcribe speech to text with AI-powered formatting
- Image OCR — Extract text from images, slides, and handwritten notes
- AI Study Tools — Generate flashcards, quizzes, concept graphs, exam prep materials, and more
- Web Article Analysis — Summarize and extract insights from online articles
The Service uses artificial intelligence (Google Gemini, Groq Whisper) to process content. AI outputs are machine-generated and provided "as is" — see Section 8 for important limitations.
2. Account Registration
To use Notelify, you must sign in using Google OAuth via Supabase Auth. By signing in, you represent that:
- You are at least 13 years old (or the minimum age of digital consent in your jurisdiction)
- The Google account you use is yours and in good standing
- You will not create multiple accounts to circumvent usage limits or credit restrictions
You are responsible for all activity under your account. If you suspect unauthorized access, contact us immediately at support@notelifyapp.com.
3. Credit System
3.1 How Credits Work
Notelify uses a credit-based usage system. Each AI-powered action (generating notes, flashcards, summaries, quizzes, etc.) consumes credits from your balance. The number of credits consumed depends on the complexity and type of tool used:
- Standard tools (notes, flashcards, summaries, transcripts) — 1 credit per use
- Advanced tools (concept graphs, exam prep) — 2 credits per use
3.2 Credit Allocation
- Free plan — 15 credits per month, videos under 30 minutes, unlimited jobs within credit balance
- Pro plan — Monthly credit allocation as defined by your subscription. Unlimited jobs, videos up to 4 hours
- Premium plan — Highest credit allocation. All Pro features plus study planner, concept graphs, multi-lecture knowledge base, and exam prep
3.3 Important Credit Rules
- Credits are non-transferable between accounts
- Unused credits from monthly allocations do not roll over to the next billing cycle
- If AI processing fails due to a system error, credits are automatically refunded to your balance
- Credits consumed by successful processing are non-refundable, even if you are not satisfied with the output quality
- Attempting to manipulate, exploit, or artificially inflate your credit balance is grounds for immediate account termination
4. Pricing & Subscriptions
4.1 Plans
Notelify offers Free, Pro, and Premium subscription tiers. Current pricing and feature comparisons are available on our pricing page. Prices are listed in USD and may vary by region.
4.2 Payment Processing
All payments are processed securely by Dodo Payments. By subscribing to a paid plan, you authorize Dodo Payments to charge the applicable fees to your chosen payment method on a recurring basis (monthly or annual, as selected). Dodo Payments handles all financial data in compliance with PCI-DSS standards.
4.3 Billing Cycle
Subscriptions are billed at the beginning of each billing period. If you upgrade mid-cycle, you will be charged the prorated difference. If you downgrade, the change takes effect at the end of your current billing period.
4.4 Cancellation
You may cancel your subscription at any time through your account settings. Upon cancellation:
- You retain access to paid features until the end of your current billing period
- Your account reverts to the Free plan at the end of the period
- Your generated content (notes, flashcards, etc.) is not deleted and remains accessible
- No partial refunds are issued for unused time within a billing period
5. Refund Policy
Due to the nature of AI-powered services, where real computational costs are incurred on every request (AI inference, transcription, PDF rendering), we are generally unable to offer refunds for successfully processed content. However:
- Automatic refunds — If processing fails due to a system error (API timeout, transcription failure, server error), your credits are automatically and immediately refunded
- Billing errors — If you were charged incorrectly or experienced a duplicate payment, contact us and we will issue a full refund within 7 business days
- First-time issues — If you are a new subscriber and genuinely unsatisfied within the first 7 days, contact support@notelifyapp.com and we will evaluate your request on a case-by-case basis
6. Acceptable Use
You agree not to use Notelify to:
- Upload, process, or generate content that is illegal, harmful, threatening, abusive, defamatory, or violates any third party's intellectual property rights
- Scrape, crawl, or systematically download content from the Service using automated tools or bots
- Circumvent rate limits, credit systems, or access controls through any means (including creating multiple free accounts)
- Reverse-engineer, decompile, or attempt to extract the source code of the Service or its AI pipelines
- Use the Service to generate content for academic dishonesty or to misrepresent AI-generated work as your own original scholarship
- Overload the Service with intentionally large, malicious, or corrupted files designed to disrupt processing
- Resell, sublicense, or redistribute Notelify's output at scale without written permission
- Use the Service in any manner that violates applicable local, state, national, or international laws
Violation of these terms may result in immediate account suspension or permanent termination, at our sole discretion.
7. Your Content & Intellectual Property
7.1 Your Content
You retain full ownership of all content you upload to Notelify. By uploading content, you grant us a limited, non-exclusive license to process it through our AI pipeline solely for the purpose of providing the Service to you. We do not claim ownership of your uploads or the AI-generated outputs derived from them.
7.2 AI-Generated Outputs
You own the study materials (notes, flashcards, summaries, etc.) generated by Notelify from your content. You are free to use, modify, share, and distribute them. However, you are solely responsible for verifying the accuracy of AI-generated content before relying on it for academic, professional, or other consequential purposes.
7.3 Copyright Compliance
You represent that you have the right to upload and process any content you submit to Notelify. You must not upload copyrighted material that you do not own or have a license to use. We respect intellectual property rights and will respond to valid DMCA takedown notices.
8. AI Limitations & Disclaimer
Notelify's outputs are generated by artificial intelligence and may contain errors, omissions, inaccuracies, or hallucinations. Specifically:
- AI-generated notes may misinterpret, oversimplify, or omit important nuances from source material
- Flashcards and quizzes may contain incorrect answers or misleading questions
- Mind maps and concept graphs may misrepresent relationships between ideas
- Transcriptions may contain speech recognition errors, especially with technical jargon, accents, or poor audio quality
- OCR results may be inaccurate with handwritten text, low-resolution images, or complex layouts
Notelify is a study aid, not a substitute for learning. Always verify AI-generated outputs against your original source material. We are not responsible for academic consequences, professional decisions, or any other outcomes resulting from reliance on AI-generated content.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement
- We do not guarantee uninterrupted, error-free, or secure operation of the Service. AI providers (Google Gemini, Groq) may experience downtime, rate limits, or service changes beyond our control
- In no event shall Notelify, its founders, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or academic outcomes
- Our total aggregate liability for any claims arising from the Service shall not exceed the amount you have paid to Notelify in the 12 months preceding the claim
10. Account Termination
We reserve the right to suspend or terminate your account, with or without notice, if:
- You violate these Terms of Service or our Acceptable Use policy
- You engage in fraudulent activity, abuse, or credit manipulation
- Your usage patterns indicate automated or bot-driven access
- We are required to do so by law or regulatory authority
- We discontinue the Service (with at least 30 days' prior notice and data export opportunity)
You may delete your account at any time by contacting support@notelifyapp.com. Upon deletion, all personal data and generated content will be permanently removed within 30 days, except as required by law.
11. Service Availability & Modifications
We strive to maintain high availability but do not guarantee 100% uptime. We reserve the right to modify, suspend, or discontinue any feature of the Service at any time. Material changes to pricing or features will be communicated with at least 14 days' notice via email or in-app notification.
12. Governing Law & Disputes
These Terms are governed by the laws of India. Any disputes arising from or relating to these Terms or the Service shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts in India.
13. Changes to These Terms
We may update these Terms from time to time. When we make significant changes, we will notify you via email or a prominent notice within the Service at least 14 days before the changes take effect. Your continued use of Notelify after the effective date constitutes acceptance of the updated Terms.
